TERMS OF USE

These Terms of Use (the "Terms") set out the conditions on which MAGIC Inc. ("the Company", "we", "us") provides the boxing and fitness gym "WYLL" (the "Service"). All customers using the Service ("Users") agree to these Terms before using the Service.

1. Application

These Terms apply to the Company's trial sessions, regular classes, membership services, facility use, personal training, and any other related services (collectively, the "Service").

2. Risks Associated with Boxing and Exercise

Boxing and other forms of training carry inherent risks, including bruising, sprains, damage to muscles or joints, fractures, falls, contact injuries, physical illness, and other injuries or accidents. By using the Service, Users acknowledge that a certain degree of physical risk is involved, and agree to check their own health and physical condition and to participate in a manner appropriate to their own physical condition.

3. Disclosure of Health Conditions

Where a User has a physical condition, injury, exercise limitation, or other circumstance that may affect the safety of training, the User shall notify staff in advance as necessary. The Company does not provide medical diagnosis. Where staff determine it necessary for safety, staff may stop or limit a User's participation in training.

4. Compliance with Staff Instructions

Users shall follow the safety instructions given by trainers and staff. Users must not engage in dangerous conduct, unauthorized or improper use of equipment, or any act that endangers other Users or otherwise interferes with the safe use of the facility.

5. Liability for Injury or Accidents

The Company takes reasonable care to provide the Service safely. However, the Company is not liable for injury, accidents, or other damage arising from a User's use of the Service where such damage results from the User's own negligence, willful misconduct, violation of these Terms, failure to follow staff safety instructions, or failure to disclose health information as required, and where no cause attributable to the Company is found.

This limitation does not apply where the damage results from the Company's willful misconduct or gross negligence, or in any other case where the Company may not be exempted from liability under applicable law.

6. Personal Belongings

Users are responsible for managing their own personal belongings while on the premises. Where a User's belongings are stolen, lost, or damaged due to the User's own insufficient care or other cause attributable to the User, and no cause attributable to the Company is found, the Company is not liable. This limitation does not apply where a cause attributable to the Company is found.

7. Disputes Between Users

Disputes between Users shall be resolved between the Users concerned, and the Company is not liable unless a cause attributable to the Company is found. Notwithstanding the foregoing, the Company will take reasonable measures as necessary, as the facility operator, to maintain a safe operating environment.

8. Damage to Facilities or Equipment

Where a User damages the Company's facilities, equipment, fixtures, or training equipment through willful misconduct or negligence, the Company may seek reasonable compensation for the damage from that User.

9. Prohibited Conduct

Users shall not, in connection with their use of the Service:

(1) Engage in violence, intimidation, or other conduct that disturbs other Users; (2) Engage in conduct that disturbs staff; (3) Engage in conduct that endangers themselves or others; (4) Misuse the facility or equipment; (5) Conduct unauthorized business or solicitation activities; (6) Violate any law or regulation; (7) Act against public order or morals; (8) Interfere with the Company's operations; or (9) Engage in any other conduct that seriously interferes with the safe operation of the facility.

10. Reservations

Classes are generally 60 minutes long and are booked on a first-come, first-served basis. There is a limit on the number of reservation slots available per day, and each class has a maximum number of participants. Users may not request a specific trainer. Personal training is available as a separate service upon request. Further details of these conditions are as described on the Company's website.

11. Cancellations

The handling of cancellations of classes or reservations — including any applicable deadlines, cancellation fees, and the treatment of no-shows — will be set out separately by the Company. Details will be provided at the time of booking.

12. Changes to Services

The Company may change business hours, class schedules, assigned trainers, and the content of the services it provides where operationally necessary.

13. Suspension of Use

Where a User seriously violates these Terms, engages in dangerous conduct, disturbs other Users, or otherwise, in the Company's judgment, significantly interferes with the proper operation of the Service, the Company may suspend that User's use of the Service or take other necessary measures.

14. Minors

Where a minor joins or uses the Service, the Company may ask to confirm the consent of a parent or other legal guardian as necessary.

15. Changes to These Terms

The Company may revise these Terms in response to changes in law, changes to the Service, or other circumstances. Revised Terms take effect once announced by posting on the Company's website or by another method the Company considers appropriate.

16. Governing Law and Consultation

These Terms are governed by, and shall be interpreted in accordance with, the laws of Japan. Should a dispute arise between the Company and a User in connection with the use of the Service, both parties shall first make a good-faith effort to resolve it through consultation.

These Terms are a pre-launch draft. We strongly recommend review by a qualified lawyer before publication, in particular the liability sections (5–7) and the governing law / dispute resolution section (16).
